Terms of service for using Genpio's AI livestream selling platform. Covers account usage, AI avatar creation, content rights, platform streaming rules, and service guarantees.

These Terms of Service ("Terms") govern your access to and use of Genpio's AI avatar livestreaming platform, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

To use our Services, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction
  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Services under applicable law
  • If using the Services on behalf of an organization, have the authority to bind that organization to these Terms

2. Account Registration

To access certain features of our Services, you must create an account. When registering, you agree to:

  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Notify us immediately of any unauthorized access to your account

4. Subscription and Payment

4.1 Plans and Billing

  • Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected
  • All fees are quoted in USD unless otherwise specified
  • You authorize us to charge your payment method for all applicable fees
  • Prices are subject to change with at least 30 days' prior notice

4.2 Free Trial

We may offer free trials for certain plans. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial expires.

4.3 Refunds

Refund requests are evaluated on a case-by-case basis. Annual plans may be eligible for a prorated refund within the first 14 days of purchase. Monthly plans are generally non-refundable once the billing cycle has begun.

  • Attempt to reverse-engineer, decompile, or extract source code from the platform
  • Use automated tools (bots, scrapers) to access the Services without authorization
  • Circumvent or disable any security, rate-limiting, or access control features
  • Promote illegal products, services, or activities through livestreams

6. Intellectual Property

6.1 Our Property

All content, features, technology, and branding associated with the Services — including but not limited to software, AI models, designs, logos, and documentation — are owned by Genpio and protected by intellectual property laws worldwide. You may not copy, modify, or distribute any part of our platform without prior written consent.

6.2 Your Content

You retain ownership of the content you create using our Services, including scripts, prompts, and livestream recordings. By uploading content to our platform, you grant Genpio a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Services.

6.3 AI Avatar Likeness

You represent that you have the legal right to use any images, voice samples, or likeness data you upload for AI avatar creation. You are solely responsible for ensuring that your use of AI avatars complies with applicable laws and does not infringe upon the rights of any third party.

7. Third-Party Platforms

Our Services may integrate with third-party livestreaming platforms (e.g., TikTok, YouTube, Facebook, Shopee). Your use of these integrations is also subject to the respective platform's terms of service and policies. Genpio is not responsible for any actions taken by third-party platforms, including account suspensions or content removal.

8. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Genpio disclaims all warranties, express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Guarantees of uninterrupted, error-free, or secure operation
  • Accuracy or reliability of AI-generated content or interactions
  • Results or outcomes from using the Services for sales or marketing purposes

9. Limitation of Liability

To the maximum extent permitted by law, Genpio and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities, arising from your use of or inability to use the Services. Our total aggregate liability shall not exceed the amount you paid to Genpio in the 12 months preceding the event giving rise to liability.

10. Indemnification

You agree to indemnify and hold harmless Genpio and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

  • You may cancel your account at any time through your account settings or by contacting support
  • We may suspend or terminate your access for violation of these Terms or for any other reason with reasonable notice
  • Upon termination, your right to use the Services ceases immediately
  • Data deletion following termination is governed by our Privacy Policy
  • Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will remain in effect

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the applicable jurisdiction. Any disputes arising from or related to these Terms shall be resolved through good-faith negotiation first, followed by binding arbitration if necessary.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the platform at least 30 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
